The Company’s Board of Directors determined on July 23, 2010 that, in accordance with Article X of the Company’s Code of Business Conduct and Ethics, the Company’s proposed donations to the charitable organization Action Against Hunger USA and its global affiliates, in an amount not to exceed $1 million in the aggregate, is permissible. Mr. Raymond Debbane, Chairman of the Company’s Board of Directors, also serves as the chairman of the board of directors of Action Against Hunger USA.
The Company’s Board of Directors determined on July 15, 2009 that, in accordance with Article X of the Company’s Code of Business Conduct and Ethics, the Company’s proposed donations to the charitable organization Action Against Hunger USA and its global affiliates, in an amount not to exceed $1 million, is permissible. Mr. Raymond Debbane, Chairman of the Company’s Board of Directors, also serves as the chairman of the board of directors of Action Against Hunger USA.
